Merchandising Agreement

This merchandising agreement is hereby made on {date} between {Party One} (hereafter "Party One") and {Party Two} (hereafter "Party Two").

Party One and the Party Two agree to the following:

Party One, being the legal and rightful owner and licensor of {Product Description}(hereafter "The Product") , grants {a/n exclusive/non-exclusive} license to Party Two allowing {him/her} to advertise, manufacture, and distribute The Product.

Party One will retain both title and ownership of The Product.

Party Two is authorized to only distribute merchandise within the following demographic: {Demographic}.

Party Two is authorized to only utilize The Product in a fashion that does not compete with Party One's ongoing business regarding The Product. Party Two will further utilize The Product only according to the following stipulations: {Stipulations}.

Party Two will pay Party One a lump sum payment of {amount}. Party Two shall also pay Party One {royalty percentage} per {sales}.

Party Two will keep records of every sale and may be called upon at any time to produce records of numbers sold and total sales.

This contract will be {void/renegotiated/updated} on {date}. Any alterations or amendments before that time will be {addressed in writing/submitted to a lawyer/signed by both parties in front of a third-party witness}.
